Beta Participation Agreement

Overview

This Beta Participation Agreement ('Beta Agreement') governs your access to and use of the AIForge Works platform ('Platform') during the beta period ('Beta Period'). By activating an account, logging in, or otherwise accessing the Platform, you agree to be bound by this Beta Agreement.

This Beta Agreement is entered into between AIForge Works ('we', 'us', or 'our') and you, the individual or entity accepting these terms ('Beta Participant' or 'you'). If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. Nature of the Beta Program

  • •The Platform is pre-release software provided for evaluation and feedback purposes. It may contain bugs, errors, incomplete features, or instabilities not present in a generally available release.
  • •AIForge Works makes no commitment that any specific feature, dataset, or capability available during the Beta Period will be available in the commercial release.
  • •The Platform, its pricing data, coverage, and capabilities may change without notice during the Beta Period.
  • •Service availability is provided on a best-effort basis. We do not guarantee uptime, response times, or data completeness during the Beta Period.

2. Access Grant

Subject to your compliance with this Beta Agreement, AIForge Works grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely for internal evaluation purposes during the Beta Period.

  • •You may not sublicense, resell, or provide access to the Platform to any third party.
  • •You may not use the Platform to develop a competing product or service.
  • •Access is personal to you or your organization and may not be shared across organizations.
  • •AIForge Works may revoke access at any time, with or without cause, on reasonable notice where practicable.

3. Permitted and Prohibited Use

Permitted Use

  • •Evaluating the Platform's features and capabilities for potential commercial adoption.
  • •Internal analysis of GPU pricing data for procurement planning purposes.
  • •Providing feedback to AIForge Works on Platform functionality, bugs, and improvement opportunities.

Prohibited Use

  • •Redistributing, republishing, or publicly disclosing pricing data or analysis outputs from the Platform without AIForge Works' prior written consent.
  • •Using automated tools, bots, or scripts to scrape, harvest, or systematically extract data from the Platform.
  • •Reverse engineering, decompiling, or attempting to derive source code or underlying data structures from the Platform.
  • •Using the Platform for any unlawful purpose or in violation of applicable law.
  • •Attempting to circumvent access controls, rate limits, or subscription restrictions.

4. Confidentiality

The Platform, its features, performance characteristics, pricing, and any non-public information disclosed to you in connection with the Beta Program ('Confidential Information') are confidential to AIForge Works.

  • •You agree to keep Confidential Information confidential and not to disclose it to any third party without AIForge Works' prior written consent.
  • •You may share Confidential Information internally on a need-to-know basis, provided those individuals are bound by confidentiality obligations no less protective than this Beta Agreement.
  • •This obligation does not apply to information that is or becomes publicly known through no fault of yours, or that you are required to disclose by law (provided you give AIForge Works prompt notice where permitted).

5. Feedback

You may choose to submit feedback, suggestions, bug reports, or ideas about the Platform ('Feedback'). You are not obligated to provide Feedback.

To the extent you provide Feedback, you grant AIForge Works a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, incorporate, and commercialize that Feedback without restriction or compensation to you. AIForge Works is not obligated to act on any Feedback.

6. Data and Privacy

Your use of the Platform is subject to the AIForge Works Privacy Policy (www.aiforge.works/privacy), which is incorporated into this Beta Agreement by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

AIForge Works does not require and you must not provide any cloud provider credentials, IAM roles, API keys, or billing access tokens in connection with your use of the Platform.

7. No Warranty

THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' DURING THE BETA PERIOD, WITHOUT WARRANTY OF ANY KIND. AIFORGE WORKS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, AND NON-INFRINGEMENT.

AIFORGE WORKS DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA PROVIDED WILL BE ACCURATE OR COMPLETE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIFORGE WORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF AIFORGE WORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AIFORGE WORKS' TOTAL LIABILITY TO YOU UNDER THIS BETA AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AIFORGE WORKS IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR $100 IF NO FEES HAVE BEEN PAID.

9. Term and Termination

This Beta Agreement is effective from the date you first access the Platform and continues until terminated.

  • •AIForge Works may terminate this Beta Agreement and your access at any time, with or without cause, upon notice to you.
  • •You may terminate this Beta Agreement at any time by ceasing all use of the Platform and notifying us at access@aiforge.works.
  • •Upon termination, your right to access the Platform ceases immediately. Sections 4 (Confidentiality), 5 (Feedback), 7 (No Warranty), 8 (Limitation of Liability), and 10 (General) survive termination.
  • •Upon Beta Period conclusion, continued access will be subject to AIForge Works' commercial User License Agreement and applicable subscription terms.

10. General

  • •Entire Agreement — This Beta Agreement, together with the Privacy Policy, constitutes the entire agreement between you and AIForge Works with respect to the Beta Program and supersedes all prior discussions.
  • •Modifications — AIForge Works may update this Beta Agreement from time to time. Continued use of the Platform after notice of an update constitutes acceptance of the revised terms.
  • •Governing Law — This Beta Agreement is governed by the laws of the jurisdiction in which AIForge Works is incorporated, without regard to conflict of law principles.
  • •Severability — If any provision of this Beta Agreement is found unenforceable, the remaining provisions continue in full force.
  • •No Waiver — Failure to enforce any provision does not constitute a waiver of that provision.
